Acceptance of Terms: By accessing this Site, you (the "User") acknowledge that you have read and agree to be bound by the terms and conditions described below. Use of Website Information: All rights in and to the website information not expressly granted in these terms of use are reserved. Articles Exception: Excluded from the above grant of use of "Content" are articles and related materials created by Specialists or others for the express use by WC on its website. Such materials are still subject to Copyright protection set forth in these Terms of Use. Furthermore, all Content of such articles is also subject to the copyright protection of the individual Specialist that granted WC the right to use each particular article on the WC Site.

You understand and agree that such notice is sufficient. All such trademarks and service marks are the sole property of WC. WC is concerned about the security of any personal information we have collected from you and has taken reasonable steps to prevent unauthorized access to that information. It is the goal of WC to balance the benefits of e-commerce with the right of individuals to prevent misuse of personal information. However, WC will not be held liable for any unauthorized access to your personal information. WC has created this privacy policy in order to demonstrate its firm commitment to privacy.

Passwords and Security: You may be provided with one or more passwords to access this Site. You are responsible for maintaining the confidentiality of any password(s) you are given to access the Site, and are fully responsible for all activities that occur under your password(s). You agree to notify WC immediately of any unauthorized use of your password(s).

Collecting Information: Generally, WC does not collect any personally identifiable information from individuals unless specifically provided by that individual. For example, when you request information regarding the products, promotions or warranties of WC, you voluntarily provide your name, company, contact address, email address and type of services, products and supporting materials that you own or use.

Occasionally, you may be asked to provide additional information regarding such things as your personal or professional interests, demographics, and experience with WC's products and contact preferences so that WC may better understand your needs and continue to its products and services to you. This Privacy Policy does not cover the information practices of any other Web Privacy Policy posted on this Site or sites that are linked to www.womenscommunity.com. WC does not accept any responsibility or liability for privacy or any other issues associated with any sites that you may link to through this Site.

Security: Keeping your personally identifiable information private is important to WC. Whenever WC handles personally identifiable information as described above, regardless of where this occurs, WC uses industry standard efforts to safeguard the confidentiality of your personally identifiable information and takes steps to ensure that your information is treated securely and in accordance with the relevant Terms of Use.

Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, while WC strives to protect the confidentiality of your personally identifiable information, WC cannot ensure or warrant the security of any information you transmit to WC or from this Site, and you do so at your own risk. Once we receive your transmission, we make reasonable efforts consistent with those practices in the on-line industry to ensure its security on our systems. Finally, your careful use and protection of your passwords and account information will assist in making your Internet experience safe and secure.

Limits on Abilities of WC: Although your privacy is very important to WC, due to the existing legal and technical environment, WC cannot ensure that your personally identifiable information will not be disclosed to third parties in ways not described in this policy. For example, WC may be forced to disclose information to the government or third parties under certain circumstances, or third parties may unlawfully intercept or access transmissions or private communications. Additionally, WC can (and you authorize WC to) disclose any information about you to private entities, law enforcement or other government officials as WC, in our sole discretion, believe necessary or appropriate to address or resolve inquiries or problems.

Credit/Debit Card Authorization

By submitting your credit/debit card ("Bank Card") data to WC, you authorize WC in its complete discretion to submit a financial transaction(s) to your issuing bank for settlement. You agree that once WC has approved or declined your transaction, WC has fully performed under the terms of this Agreement.

You agree to contact WC in writing in the event that you desire to cancel any recurring charge, prior to the next billing cycle. Should you fail to contact WC, you agree to indemnify and hold WC harmless from any losses or damages that you suffer as a result of a recurring charge. If you think that there is an error on your account, including an incorrect amount or unauthorized transaction, you agree to contact WC immediately. Upon proper notification, WC, in its sole discretion may issue a credit to your Bank Card.

Subscribers

"Subscriber" means any person or business entity that (a) downloads, attempts to download or otherwise utilizes any resource that resides entirely on the Site (b) any person or entity that transmits electronic mail, files, or other data transmission into any network owned/operated by WC; (c) and person or business entity linked to a URL resource owned/operated by WC; and (d) any person or entity that contacts WC through the use of any network. Subscribers of WC include but are not limited to Specialists, Leaders, Members, Affiliates and others that actively access the resources, products and/or services of the WC Site.

WC allows Subscribers to transmit and/or access data on the Site. In order to enroll in any WC Service, you must be at least 18 years of age and provide true, accurate, current and complete information about yourself and/or your business when such information is requested by WC (whether by questionnaires, surveys, registration forms, or other informational requests). You must populate every field on every form presented to you with accurate data; you must have a valid email address; and you must agree to be bound by this Agreement and/or any other agreement governing your use of the service(s) and/or particular resource(s). Your failure to populate every field may result in your waiver of certain rights under this Agreement or other agreements.

Relationship of Parties: Subscribers are independent contractors, and nothing in these terms and conditions will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement.

Subscriber Accounts, Passwords and Security: Some interactive resources provided to you require a username and password system. You are responsible for maintaining the confidentiality and security of your username and password and you are fully responsible for any activity that occurs under your password and/or account. You agree to immediately notify WC of any unauthorized use of your password or account and ensure that you properly log-off any session that requests resources protected by secure hardware/software schemes. WC shall not be liable for any loss or damages arising from your failure to comply with this section.

Prohibited Content: WC is committed to ensuring that the Site maintains its level of quality. To that end, any content is strictly prohibited if it:

• Is abusive, deceptive, pornographic, obscene, defamatory, slanderous, offensive, or otherwise inappropriate;
• Comprises copyrighted material used without the express permission of the owner;
• Forges headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted;
• Uploads, posts, emails, transmits or otherwise makes available any Content that infringes any patent, trademark, trade secret, copyright or other intellectual property right;
• Uploads, posts, emails, transmits or otherwise makes available any unsolicited or unauthorized advertising, promotional materials, or junk mail;
• Otherwise violates or encroaches on the rights of others;
• Contains viruses, worms, corrupt files, Trojan horses and other forms of corruptive code, or any other content which may compromise the Service;
• Advocates any illegal activity;
• Harms anyone in any way; or
• Provides a link to any of the above.

WC has the sole discretion to determine whether Content is Prohibited Content, and any Content submitted to WC may be subject to examination from time to time. WC may delete, move and edit such materials for any reason, at any time, without notice. WC reserves the right to terminate your access to any or all WC services at any time, without notice, for any reason whatsoever.

All Content that is submitted to WC on the Site is the sole responsibility of the person and/or business that submitted it. You are fully responsible for your Content.

No Spam: WC will immediately terminate any account that it believes, in its sole discretion, is transmitting or is otherwise connected with any unsolicited bulk email. In addition, because damages are often difficult to quantify, if actual damages cannot be reasonably calculated then you agree to pay WC liquidated damages of $5 for each piece of spam or unsolicited bulk email transmitted from or otherwise connected with your account, otherwise you agree to pay WC's actual damages, to the extent such actual damages can be reasonably calculated. Such payment may be deducted directly from any monies owed to you from WC.

Third Party Software: As a convenience to Subscribers, WC may make third-party software available through the Site. To use the third-party software, you will agree to the terms and conditions imposed by the third party provider. The agreement to use such software will be solely between you and the third party provider.

WC does not guarantee that any software downloaded through the Site will be free of viruses, worms, or Trojan horses or other forms of corruptive code. WC makes no representations or warranties concerning, and is not liable or responsible in any manner for, the performance, effectiveness or any other aspect of any third-party software downloaded through the Service.

Affiliates

This section contains the complete terms and conditions that apply to an individual's or entity's participation in the Women's Community Affiliate Program (the "Program"). As used in this Affiliate Agreement, "WC" means Women's Community LLC, and "You" means the Affiliate applicant. "Site" means a World Wide Web site and, depending on the context, refers either to the WC site, or to any site that you will link to the WC site (and which you will identify in Your Program enrollment form). "Link(s)" means the link between the WC Site and Your Site.

Enrollment in the Program: To begin the enrollment process, you will submit a complete Affiliate Enrollment Form via the WC site. WC may reject your website if WC determines (in WC's sole discretion) that your site is unsuitable for the Program. Unsuitable sites include those that:

• promote sexually explicit materials;
• promote violence;
• promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
• are unlawful, harmful, threatening, or obscene; and/or
• include "womenscommunity" or variations or misspellings in their domain names.

Agreements regarding Links: In utilizing the Links, You agree that You'll cooperate fully with WC in order to establish and maintain such Links. You also agree that You'll display in Your site only those graphic or textual images (indicating a link) that are provided by WC, and You'll substitute such images with any new images provided by WC from time to time throughout the term of this Agreement.

All Affiliate Sites (the Internet Web site(s) owned or controlled by Affiliate) shall display such graphic and/or textual images prominently in relevant sections of their site. All Links may be modified and/or expanded from time to time throughout the term of this Agreement pursuant to the mutual agreement of the parties hereto. Each Link connecting users of Your site to the pertinent area of the WC site will in no way alter the look, feel or functionality of the WC site.

Relationship of Parties: Affiliates are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement.

Referral Fee Schedule & Payment: You will earn referral fees based on Qualifying Revenues according to referral fee schedules to be established by WC. "Qualifying Revenues" are revenues derived by WC from WC's sales of Qualifying Products. "Qualifying Products" are e-books, books, DVD's, CDs, training materials, downloadable informational products and other related products and/or services, excluding costs for shipping, handling, taxes, service charges, credit card processing fees, returns and bad debt. The current referral fee schedule for WC affliliates is that You receive (1)10% commissions on following services: Teleseminars and Ask-an-Expert and (2) 30% on the sale of WC informational products.

Policies: Customers who join WC and become a member or buy products through this Program will be deemed to be Subscribers or customers of WC. Accordingly, all WC rules, policies, and operating procedures concerning Subscriber participation, as well as customer orders, customer service, and product sales will apply to those Subscribers or customers. WC may change its policies and operating procedures at any time. For example, WC will determine the fees or prices to be charged for participation in the community or products sold under this Program in accordance with its own pricing policies. Product prices and availability may vary from time to time. WC will use commercially reasonable efforts to present accurate information.

Publicity: You shall not create, publish, distribute or permit any written material that makes reference to WC without first submitting such material to WC and receiving WC's written consent, which WC agree shall not be unreasonably withheld.

Limited License: WC grants You a non-exclusive, non-transferable, revocable right to use the graphic image and text provided to you, solely for the purpose of identifying your site as a Program participant and to assist in generating Membership and Product sales. you may not modify the graphic image or text, or any other of WC's images, in any way. WC reserves all of its rights in the graphic image and text, any other images, WC's trade name and trademarks and all other intellectual property rights. WC may revoke your affiliate rights at any time by giving you written notice.

Responsibility regarding Your Site: WC disclaims all liability for the technical operation of your site and all related equipment, the accuracy and appropriateness of materials posted on your site, ensuring that materials posted on your site do not violate or infringe upon the rights of any third party, ensuring that materials posted on your site are not illegal. Further, you will hold WC harmless from all claims, damages, and expenses (including attorneys' fees) relating to the development, operation, maintenance and contents of your site.

Term of Agreement: The term of this Agreement will begin upon WC's approval of the Affiliate Form and will end when terminated in writing by either party. Either you or WC may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, you will immediately cease use of and remove from your site, all links to WC's site and all WC trademarks, logos, and all other materials provided by or on behalf of WC to you pursuant to this Agreement or in connection with the Program. You are eligible to earn referral fees only on WC's sales of Qualifying Products and Services that occur during the term, and referral fees earned through the date of termination will remain payable only if the related orders are not canceled or returned. WC may withhold your final payment for a reasonable time to ensure that the correct amount is paid.

Modification: WC may modify any of the terms and conditions contained in this Agreement, at any time and in WC's sole discretion, by posting a change notice or a new agreement on WC's Site. Modifications may include, for example, changes in the scope of referral fees, referral fee schedules, payment procedures and Program rules. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation in the program following WC's posting of a change notice or new agreement on the WC site will constitute binding acceptance of the change.

Limitation of Liability: WC will not be liable for indirect, special or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if WC have been advised of the possibility of such damages. Further, WC's aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.

Disclaimers: WC makes no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, noninfringement or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, WC makes no representation that the operation of WC's Site will be uninterrupted or error-free, and WC will not be liable for the consequences of any interruptions or errors.

General Provisions: Any disputes between the parties to this agreement, which involves interpretations of the terms of this agreement, shall be submitted to arbitration under the rules of the American Arbitration Association, and the finding of the Arbitrator shall be binding on all parties. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

Acceptance: By submitting the Affiliate Enrollment Form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.

Disclaimers

While WC attempts to provide accurate information on this Site, it assumes no responsibility for accuracy. WC may change or update the content or information on the Site at any time without notice to you.

While reasonable effort is made with regard to downloadable files, you understand that WC cannot and does not guarantee or warrant that the files available for downloading through this Site are free from viruses, worms or any other code that can manifest destructive capabilities or properties. You are fully responsible for implementing procedures to protect your data and for the restoration of any lost data. You assume total responsibility for your use of this Site and the Internet.

EXCEPT WHERE EXPRESSLY PROVIDED OTHERWISE, THE SITE, AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS, SERVICES AND RELATED GRAPHICS PROVIDED ON THE SITE, ARE PROVIDED ON AN "AS IS" BASIS. WC MAKES NO WARRANTY THAT: (1) THE SITE WILL MEET YOUR REQUIREMENTS; (2) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE OR ANY SERVICES OFFERED THROUGH THE SITE WILL BE ACCURATE OR RELIABLE; OR (3) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS.

ANY CONTENT, MATERIALS OR INFORMATION DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS DONE AT YOUR OWN DISCRETION AND RISK. General Terms and Conditions

Indemnity: You agree to defend, indemnify and hold harmless WC, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys fees and costs, arising out of or in any way connected with your access to or use of the Site in connection with any claims of any nature related to your use of or access to the Site, including without limitation claims of damage to property, personal injury, product liability, copyright, trademark, patent or trade secret infringement, libel, defamation, invasion of privacy, fraud, or breach of confidentiality, arising out of the use of the Site.

Termination of Use: You agree that WC may, in its sole and arbitrary discretion, at any time terminate your access to the Site and any account(s) you may have in connection with the Site. Access to the Site may be monitored by WC.

Export of Information: The United States Export Controls laws prohibit the export of certain technical data and software to certain territories. No content from this Site may be downloaded or otherwise exported in violation of United States law.

Jurisdiction and Choice of Law: You agree that this agreement and all claims or issues regarding this Site, shall be governed according to U.S. Federal law and the laws of the State of Maryland. Any legal action or proceeding concerning these Terms or this Site shall be brought within one (1) year after the claim or cause of action arises and must be brought in a federal or state court in the State of Maryland. You agree to submit to the jurisdiction of and agree that venue is proper in these courts in any such legal action or proceeding.

Entire Agreement: These Terms of Use constitute the entire agreement between Women's Community LLC and you with respect to your use of the WC Site. If for any reason a court of competent jurisdiction finds any provision herein, or any portion thereof, to be unenforceable, the provision shall be enforced to the maximum extent permissible so as to affect the intent of these Terms of Use, and the remainder of these Terms of Use shall continue in full force and effect.

The failure of WC to exercise or enforce any Term will not constitute a waiver of such Term. If any Term is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the p arties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
